Novanta’s Board of Directors Authorizes Additional $200 Million for Share Repurchase Program

Novanta Inc. (Nasdaq: NOVT) (the "Company"), a trusted technology partner to medical and advanced technology equipment manufacturers, announced today that its Board of Directors has authorized the repurchase of up to an additional $200 million of the Company’s outstanding common shares, adding capacity to the $31 million remaining from its 2020 Board authorization, for a total capacity of $231 million.

In this dynamic environment, we are pleased to be authorized to return value to our shareholders through a disciplined share repurchase program. We also intend to continue making investments to fund our long-term organic growth initiatives and to continue to prioritize attractive acquisition opportunities.”
Shares may be purchased on a discretionary basis from time to time at the Company’s discretion, subject to market conditions, share price, legal requirements and other considerations. Shares may also be repurchased through an accelerated share purchase agreement, on the open market or in privately negotiated transactions in accordance with applicable federal securities laws. The timing and amount of any transactions will be at the Company’s discretion, subject to the market price of the stock, general market and economic conditions, cash availability, applicable legal requirements, cash return expectations, and other growth investment opportunities. All purchases will be funded from cash on hand and future cash flows. The repurchase program has no time limit, does not obligate the Company to acquire any particular amount of shares and may be suspended or discontinued at any time. Any repurchased shares will be available for use in connection with the Company's stock plans and for other corporate purposes. Repurchases may be made under certain SEC regulations, which would permit common shares to be repurchased when we would otherwise be prohibited from doing so under insider trading laws.
